Status and acceptance
These Terms apply to this website and to GRIDORA AUTOTRADER. The Free version is available for download now; you accept the license agreement in the installer before installation, and these Terms control if the two differ. Pro subscriptions are not open yet; their purchase terms will be presented for acceptance before any payment. Merely viewing this website does not create a paid subscription.
1. Company and product
NYC Capital Asia Inc. (the “Company”, “we” or “us”) develops and distributes GRIDORA AUTOTRADER (the “Software”). The Software automates user-configured transactions with decentralized protocols. It is not a deposit account, managed investment service or promise of returns. Website descriptions are informational and do not constitute investment, legal or tax advice.
2. Eligibility and responsibility
You must be at least 18 and legally able to enter a contract. Use the Software only where lawful and only with wallets and assets you are authorized to control. You are responsible for your strategy, settings, transaction approvals, taxes, device security and compliance with applicable sanctions and other laws. Do not use the Software for fraud, market manipulation, money laundering or unauthorized access.
You must not use the Software if you are located in, or ordinarily resident in, a country or region subject to comprehensive U.S. sanctions, or if you appear on a U.S. sanctions list (including the OFAC Specially Designated Nationals list). The Software may block live trading where such restrictions apply.
3. Intellectual Property and License Restrictions
GRIDORA AUTOTRADER, including its code, trading logic, algorithms, settings models, interface, design, graphics, text, logos and documentation, belongs to NYC Capital Asia Inc. or its licensors. Applicable copyright, trademark and trade secret protections apply. All rights not expressly granted are reserved. Third-party and open-source components remain subject to their own licenses.
Subject to these Terms and payment of applicable fees, the Company grants a limited, personal, non-exclusive, non-transferable, non-sublicensable license to install and use the Software on devices you own or control, solely for personal use within your plan. Free requires no subscription payment. The Software is licensed, not sold. The license may be suspended or terminated under Section 8.
You must not perform, permit or assist any of the following, except as expressly authorized by the Company, an applicable third-party license or non-waivable law:
- Copy, modify, translate or create derivative works, except copies needed for authorized installation, operation or backup.
- Reverse engineer, decompile, disassemble, decrypt or unpack the Software to derive proprietary code, algorithms, trading logic or settings models. Ordinary installation is not prohibited.
- Distribute, sell, resell, rent, lease, lend, sublicense, publish or upload unauthorized copies, or share license keys or activation credentials with third parties.
- Remove, alter or obscure copyright, trademark or other proprietary notices.
- Bypass, disable or interfere with license checks, security features, integrity checks or usage limits.
- Use proprietary or confidential materials obtained through unauthorized copying or prohibited reverse engineering to build, train or help develop a competing product or service. This does not prohibit independent development or lawful use of public information.
A material breach may result in suspension or termination under Section 8, including immediate action where lawful and necessary. Refunds remain subject to the Refund Policy and mandatory law. The Company may seek available remedies, including injunctive relief and damages, subject to applicable legal requirements. Nothing in this section removes non-waivable consumer rights. GRIDORA and GRIDORA AUTOTRADER are trademarks of NYC Capital Asia Inc.
4. Non-custodial operation
Transactions are authorized through your local wallet or the permissions you grant. The Company does not take custody of your assets or private keys and cannot recover lost keys, reverse blockchain transactions or guarantee access after device failure. A software subscription is not a deposit of trading capital with the Company. Keep verified backups and review wallet permissions. Never provide your main wallet recovery phrase to support.
5. Trading risks and automated decisions
You can lose all funds committed to trading. No strategy, AI output, safety score, preset, stop-loss or other control guarantees profit, suitability, execution or a maximum loss. Market data can be stale or incorrect. Paper trading, screenshots and backtests are illustrative and do not predict live results. Read the Risk Disclosure before using live trading.
6. Availability, changes and support
The Software depends on your device, connectivity and third-party networks. Availability, compatibility and uninterrupted operation are not guaranteed. Features and supported protocols may change for security, technical or legal reasons; material paid-service changes require applicable notice and remedies. Updates or restarts can interrupt monitoring: review transactions and positions before restarting. Support covers product and administrative questions, not investment recommendations or emergency management of your positions. No response-time guarantee is offered unless separately agreed in writing.
The Windows app checks for updates signed by NYC CAPITAL ASIA INC. and downloads them in the background. An update installs only when you choose Restart & update; the app does not install updates while an order is in progress. Updates may change features or fix security issues, and keeping the app updated is recommended.
7. Subscription and refunds
Free is $0 with no card requirement or time limit. Pro is US $19.99 per month or US $149 per year, plus applicable taxes. Paid subscriptions are not open yet. Gas and DEX fees are separate.
Pro payments are generally non-refundable. Exceptions cover duplicate charges, billing errors, and complete failure of the app on a supported computer that we cannot resolve. Mandatory consumer rights, including applicable remedies for faulty or misdescribed software, remain unaffected.
Pro renews monthly or annually according to the selected billing period. Cancel through online subscription management before renewal to avoid the next charge. Access continues until the paid period ends, then returns to Free. Deleting the app does not cancel Pro. Your assets remain in your wallet; a Pro subscription is not required to withdraw.

8. Suspension and termination
We may restrict or terminate licensed services for material breach, nonpayment, fraud, security threats or legal requirements, subject to applicable law. Where reasonable, we will give notice and an opportunity to resolve a breach; urgent action may be necessary for security or legal reasons. Suspension does not transfer ownership of your assets to us. Maintain independent wallet backups and access; do not rely on licensed features as your only means of controlling assets. Uninstalling the app does not cancel billing. Before deleting local data, safely secure your wallet access and review or revoke permissions.
9. Warranty disclaimer
TO THE FULLEST EXTENT PERMITTED BY LAW, THE SOFTWARE AND WEBSITE ARE PROVIDED “AS IS” AND “AS AVAILABLE”, WITHOUT IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE OR NON-INFRINGEMENT. We do not warrant error-free operation, uninterrupted access, profitable results or detection of all threats. Express commitments in your accepted purchase terms and non-waivable statutory warranties remain unaffected.
10. Limitation of liability
To the fullest extent permitted by law, the Company will not be liable for indirect, incidental, special or consequential damages, or lost profits, arising from use of the Software. For claims subject to a lawful limitation, our aggregate liability will not exceed the greater of US $100 or the subscription fees you paid us in the 12 months preceding the event giving rise to the claim. These limitations do not exclude or limit liability for fraud, willful misconduct, gross negligence, or any liability or remedy that cannot lawfully be excluded or limited. Trading-risk disclosures do not excuse Company conduct for which liability cannot be waived.
11. Third-party claims arising from misuse
To the extent permitted by law, you agree to indemnify the Company against third-party claims and reasonable costs caused by your unlawful use, infringement of third-party rights or material breach of the accepted terms. This does not cover claims caused by the Company’s own misconduct. We will provide reasonable notice and cooperation; no settlement may impose an admission or non-monetary obligation on you without your consent, which must not be unreasonably withheld.
12. Governing law and disputes
New York law governs the accepted agreement, subject to mandatory consumer protections applicable where you reside. Where legally permitted, disputes may be brought in courts of competent jurisdiction in New York County, New York. This does not remove a consumer’s non-waivable right to bring proceedings in another competent court. Contact us to seek an informal resolution; doing so is not a prerequisite to exercising statutory rights.
13. Changes, interpretation and third-party brands
Revised terms will carry an updated date. Material changes to existing paid agreements will receive legally required notice and consent where required; revisions will not retroactively remove accrued rights. An invalid provision does not invalidate the remaining lawful provisions. GRIDORA is independent of and is not affiliated with, endorsed by or sponsored by Uniswap Labs, PancakeSwap or Jupiter. Third-party names identify technical compatibility; their trademarks belong to their respective owners.
